Vodafone AirTouch Plc announces today that a group of eleven relationship banks has agreed to underwrite and arrange a Euro 30 billion senior credit facility in connection with its proposed intended offer for Mannesmann A.G. The facility is expected to be signed shortly.
The eleven banks include ABN AMRO, Bank of America, Banque Nationale de Paris, Barclays, Citibank, Goldman Sachs, Greenwich NatWest, ING Barings, National Australia Bank, Toronto Dominion and Warburg Dillon Read. The bookrunners are Bank of America, Barclays, Citibank and Goldman Sachs, and the facility agent is NatWest.
The major part of the multi-tranche facility has a 364 day maturity with the balance having a three year term. Pricing of the facility is based on a grid which is dependent on credit ratings, the size of the facility, the tranche selected and the utilisation levels.
Substantial parts of the facility will be refinanced in the commercial paper and bond markets and cancelled as funding requirements fall.
